Global PE dry powder
“Dry powder” is the industry term for capital that limited partners have committed to funds but that general partners have not yet called or deployed. It’s the single most-cited number in M&A when people talk about how competitive the buyer landscape is.

What this means for sellers and deal teams
More buyers at auction
With $3.7T of committed capital chasing deployment, quality lower-middle-market processes routinely draw 8-15 IOIs. The competitive tension is real; sell-side advisors can genuinely price to it.
Multiple pressure
More capital chasing the same deal count is directly reflected in multiples. When dry powder rises faster than deal supply, average multiples expand — this is the mechanical basis of the “capital-overhang” thesis.
LP capital-call risk
Committed but uncalled capital is a contractual obligation. LPs who over-committed relative to their liquidity plan can end up sourcing money at inconvenient times — a real cause of secondaries transactions.
Fund-vintage dispersion
Not all dry powder is fresh: some sits in older vintages that are past their optimal investment period. That capital may be deployed in less-attractive rushed transactions or returned to LPs — either way, it affects the effective buying pool.
